2. Description of Service

CoverProof AI is a cyber-insurance readiness platform that helps Managed Service Providers (MSPs) and their clients automate insurance questionnaire completion, verify security controls, and generate evidence packages for insurance renewals.

3. Account Registration

To use the Service, you must register for an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update your account information if it changes
• Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload malicious content or malware
• Attempt to gain unauthorized access to other accounts or systems
• Interfere with the proper functioning of the Service
• Resell or redistribute the Service without authorization
• Use the Service to generate false or misleading insurance documentation

5. AI-Generated Content

The Service uses artificial intelligence to generate questionnaire answers and recommendations. You acknowledge that:

• AI-generated content requires human review before submission to insurers
• You are responsible for verifying the accuracy of all generated content
• CoverProof does not guarantee the accuracy of AI-generated answers
• Final responsibility for insurance submissions rests with you

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of your data. By using the Service, you grant us a limited license to process your data as necessary to provide the Service.

7. Subscription and Payment

Paid features require a subscription. You agree to:

• Pay all applicable fees according to your selected plan
• Provide valid payment information
• Accept automatic renewal unless you cancel before the renewal date

8. Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation:

• You retain access until the end of your current billing period
• No refunds are provided for partial billing periods
• You may export your data before your access ends

9. Intellectual Property

The Service, including its software, design, and content, is owned by CoverProof and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVERPROOF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. COVERPROOF DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Indemnification

You agree to indemnify and hold harmless CoverProof from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.

14. Termination

We may suspend or terminate your access to the Service for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
